Welcome to Magify ("Platform," "Service," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our AI-based platform designed to help facilitation experts and domain professionals create, share, and commercialize their own AI programs. By accessing or using our Service, you agree to comply with these Terms.

Company Information

VW-CODING, SASU with a capital of 4000€, registered with the RCS of Paris under number 914 650 387, headquartered at 121 quai de Valmy, 75010 Paris, VAT number FR41914650387 (hereinafter "the Provider"), operates the platform magify.fun.

1. Definitions

In these Terms, unless otherwise specified: - "User" refers to any natural or legal person using the Platform - "Creator" refers to any User who creates and configures AI programs - "Platform" refers to magify.fun and all associated services - "Content" refers to any AI programs, data, or materials created or uploaded - "Services" refers to all features and functionalities provided - "AI Services" refers to third-party AI providers including but not limited to OpenAI and Google (Gemini)

2. Acceptance of Terms By using our Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Service. The Provider reserves the right to modify these Terms at any time, with changes becoming effective upon posting to the Platform.

3. Intellectual Property and Data Ownership

3.1 Your Intellectual Property: As a User of our Platform, you retain full ownership of all intellectual property rights to the AI programs you create. Your content remains personal to you, and we do not claim ownership over it.

3.2 Platform Rights: The Platform and its components (including but not limited to software, design, logos, and documentation) are protected by intellectual property rights owned by the Provider. Users receive only a limited, non-transferable license to use the Platform.

3.3 License to Process Data: By using our Platform, you grant us a non-exclusive, worldwide, royalty-free license to: - Process the data of your AI programs for research and development purposes - Improve our product and develop analytical features - Provide insights that enhance your professional activities This creates a win-win collaborative relationship while protecting both parties' interests.

3.4 Conversation Access and Monitoring: - By using our Platform, you explicitly consent that Magify team members may access and read all conversations conducted with agents on the Platform for purposes of quality assurance, technical support, compliance monitoring, and service improvement. - If you are using an agent created by a Creator (coach), you acknowledge and agree that the Creator of that agent has the right to access and read all conversations between you and their agent. This access is necessary for Creators to monitor quality, improve their agents, and provide better service to their clients. - We may use anonymized conversation data for research, development, and training purposes to enhance the Platform's capabilities.

3.5 Confidentiality and Security: We implement appropriate technical and organizational measures to protect your content. Your intellectual property will not be shared with third parties unless: - Required by law or court order - With your explicit consent - Necessary for Platform operation and improvement - In anonymized or aggregated form for analytics

3.6 AI Services and Data Storage: By using our Platform, you acknowledge and agree that: - Your data will be processed by third-party AI services including OpenAI and Google (Gemini) - These AI services may use your data according to their respective terms of service - All files and data are securely stored in AWS data centers located in London, UK - We utilize QDRANT, a semantic vector database, to enhance AI capabilities and search functionalities - Data processing and storage comply with applicable data protection regulations - We implement industry-standard security measures to protect your data during transmission and storage

4. User Obligations

4.1 General Obligations: - Provide accurate registration information - Maintain account security - Use the Platform in compliance with applicable laws - Respect intellectual property rights - Not attempt to reverse engineer the Platform

4.2 Ethical Use and Transparency: - Use the Platform ethically and responsibly - Be transparent with clients about AI program usage - Not engage in deceptive practices - Not create AI programs that: • Promote illegal or harmful activities • Infringe upon others' rights • Discriminate or harass • Violate applicable laws

5. Service Provision and Support

5.1 Availability: While we strive for optimal service: - We do not guarantee uninterrupted availability - Service may depend on technical and external factors - We maintain the right to modify or discontinue features - We will make reasonable efforts to notify of significant changes

6. Commercial Terms

6.1 Monetization: You may commercialize AI programs created on our Platform, subject to: - Compliance with these Terms - Applicable laws and regulations - Any specific monetization agreements

6.2 Fees and Payments: - All fees are in euros and subject to applicable VAT - Payment terms are specified in subscription agreements - We reserve the right to modify pricing with notice

7. Termination

7.1 By User: You may terminate your use at any time, subject to: - Outstanding payment obligations - Data retention requirements - Survival of relevant terms

7.2 By Provider: We reserve the right to: - Suspend or terminate access for Terms violations - Remove harmful or illegal content - Take necessary legal action

8. Liability and Warranties

8.1 Limitation of Liability: - We are not liable for indirect or consequential damages - Our liability is limited to fees paid in the last 12 months - We do not warrant specific results or performance - Force majeure events exclude liability

8.2 Indemnification: You agree to indemnify and hold us harmless from claims arising from: - Your use of the Platform - Your content - Your violations of these Terms

9. Governing Law and Jurisdiction

9.1 These Terms are governed by French law 9.2 Courts of Paris have exclusive jurisdiction 9.3 Mandatory mediation before litigation
